Explanatory Note

On May 19, 2025, Marti Technologies, Inc. (the “Company”) issued a press release announcing that it has appointed Cenk Özeker as its Chief Financial Officer (“CFO”), effective May 14, 2025. Cenk Özeker succeeds Deniz Terlemez, the Company’s former Interim CFO.
